Terms of Use

These Terms of Use (hereinafter referred to as the "Terms") shall define the conditions for supply of the Services, as well as the rights and obligations of the Company and the user (hereinafter referred to as the "Registered User").

In order to use the Services, the user must read and accept all of these Terms. Please note in advance that the user cannot make use of the Services unless the user agrees to these Terms.

Article 1 (Application)

  1. The Terms shall be formulated to define the conditions for supply of the Services as well as the rights and obligations of the Company and Registered Users in connection with the use of the Services, and shall apply to all relationships between the Registered Users and the Company in connection with the use of the Services.
  2. Any rules concerning the use of the Services communicated by the Company on the Company Website shall become part of the Terms.
  3. In the event of any conflict between the provisions hereof and the rules mentioned in the preceding paragraph or other description, etc. of the Services, other than those specified herein, the provisions of the Terms shall prevail.

Article 2 (Definitions)

  1. The terms used herein shall have meaning as defined below:
    The "Service Agreement" shall refer to the Terms and the terms of use of the Services executed by the Company and Registered Users.
  2. "Intellectual Property Rights" shall refer to copyrights, patent rights, utility model rights, design rights, trademark rights and other intellectual property rights (including the rights to obtain, or to apply to the government authorities in connection with, said rights).
  3. "Posted Data" shall refer to any content (including, but not limited to, text, image, video, and other data) posted or otherwise transmitted by Registered Users with the use of the Services.
  4. The "Company" shall refer to Menicon Co., Ltd. and Menicon Group.
  5. A "Registered User" shall refer to an individual or a corporation that is registered as a user of the Services under the provisions of Article 3 (Registration).
  6. The "Services" shall refer to any services offered by the Company through the Company Website. (In the event of any revision of the name or content of the Services, regardless of the reason, the revised Services shall be included). 

Article 3 (Registration)

The terms used herein shall have meaning as defined below:

  1. Any individual who wishes to use the Services (hereinafter referred to as an "Interested Individual") may apply to the Company for user registration of the Services by agreeing to observe the Terms, and submitting certain information specified by the Company (hereinafter referred to as "Registered Items") to the Company, through procedures specified by the Company.
  2. The Company shall determine whether an Interested Individual who has applied for registration under Paragraph 1 (hereinafter referred to as an "Applicant") should be accepted or not, in accordance with the standards established by the Company, and notify the Applicant of acceptance if the Company approves the registration. The registration of the Applicant as a Registered User shall be deemed completed when said notification is made by the Company.
  3. When the registration is completed, as set forth in the preceding paragraph, the Service Agreement shall be executed between the Registered User and the Company, and the Registered User may start to use the Services in accordance with the Terms.
  4. The Company may refuse registration or re-registration and shall not be obliged to disclose the reason or reasons for such refusal:
    • If all or some of the Registered Items submitted to the Company are false or erroneous, or has any omission;
    • If the Applicant is either a minor, an adult ward, or an individual under curatorship or assistance, and has not obtained consent of their statutory agent, guardian, curator or assistant;
    • If the Applicant falls under anti-social forces, etc. (which shall mean an organized crime group, a member thereof, a right-wing group, an anti-social force or others similar thereto; the same shall apply hereinafter), or the Company determines that the Applicant has some relationship or is involved with anti-social forces, etc. by cooperating or participating in maintenance, operations or management of anti-social forces, etc. through funding, etc.
    • If the Company determines that the Applicant is an individual who has violated any contract with the Company, or has any relationship with such an individual.
    • If the Applicant has been subject to the measures set forth in Article 9.
    • If the Company otherwise considers the registration to be inappropriate.

Article 4 (Modification of Registered Item)

In the event of any change in Registered Items, the Registered User shall notify the Company without delay of the changed Registered Item through the procedures specified by the Company.

Article 5 (Management of Password and User ID)

  1. Registered Users shall, under their own responsibility, properly manage and store their password and user ID for the Services, and shall not allow any third party to use, lend or transfer, change the name of, or buy or purchase said password and user ID.
  2. Registered Users shall be responsible for damage caused by insufficient management, erroneous use, or use by a third party, of their password or user ID, and the Company shall assume no responsibility for such damage.

Article 6 (Prohibited Acts)

In using the Services, Registered Users shall not perform an act that falls, or may fall as determined by the Company, under any of the following criteria:

  1. An act that violates laws or is related to criminal activity;
  2. An act of cheating or intimidating the Company, other users of the Services or other third parties;
  3. An act that is contrary to public order or morality;
  4. An act of infringing any Intellectual Property Rights, portrait rights, rights to privacy, honor, or other rights or interests of the Company, other users of the Services or other third parties;
  5. An act of using the Services to transmit information that falls, or may fall as determined by the Company, under any of the following items to the Company or other users of the Services;
    • Information containing excessively violent or brutal expression;
    • Information containing computer viruses or other harmful computer programs;
    • Information containing expression which damages the honor or credit of the Company, other users of the Services or other third parties;
    • Information containing excessively obscene expression;
    • Information containing expression that facilitates discrimination;
    • Information containing expression that encourages suicide or self-injury;
    • Information containing expression that encourages inappropriate use of drugs;
    • Information containing anti-social expression;
    • Information, such as chain e-mail, promoting its proliferation to third parties;
    • Information containing expression that causes discomfort to others; or
    • Information that is designed to facilitate an encounter with a stranger for dating
  6. An act that applies an excessive load on the network or system, etc. of the Services;
  7. An act that may interfere with the operations of the Services;
  8. An act of gaining or trying to gain unauthorized access to the network or system, etc. of the Services;
  9. An act of impersonating another person;
  10. An act of using the ID or password of other users of the Services;
  11. An act of promotion, advertisement, solicitation or business activities on the Services, which is not approved by the Company in advance;
  12. An act of collecting information on other users of the Services;
  13. An act of giving disadvantage, damage or discomfort to the Company, other users of the Services or other third parties;
  14. An act of violating rules concerning the use of the Services which are announced on the Company Website;
  15. An act of providing benefits to anti-social forces, etc.;
  16. An act of trying to encounter a stranger for dating;
  17. An act of directly or indirectly causing, or facilitating, any of the acts mentioned above; or
  18. Any other acts deemed inappropriate by the Company.

Article 7 (Suspension of Services)

  1. The Company may suspend or interrupt provision of all or part of the Services without giving any prior notice to Registered Users:
    • If any urgent inspection or maintenance activity is performed on a computer system relating to the Services;
    • If any computer, communication line or other device is suspended due to an accident;
    • If operations of the Services are rendered impossible by any force majeure event, including earthquake, lightning, fire, windstorm, flood, power failure and natural calamity; or
    • If the Company otherwise determines that suspension or interruption is required.
  2. The Company shall assume no liability for damage caused to Registered Users on the basis of measures taken by the Company under this Article.

Article 8 (Ownership of Rights)

  1. All of the Intellectual Property Rights concerning the Company Website and the Services shall belong to the Company, or individuals licensing such Intellectual Property Rights to the Company. Permission to use the Services under the Terms shall not constitute licensing of the Intellectual Property Rights concerning the Company Website and the Services possessed by the Company or individuals granting a license to the Company.
  2. Registered Users shall represent and warrant to the Company that they are entitled to post or otherwise transmit Posted Data, and that the Posted Data does not infringe any third party's rights.
  3. A Registered User shall grant a worldwide, non-exclusive, uncompensated, sub-licensable and assignable license for use, duplication, distribution, creation of derivative works, indication and execution of Posted Data to the Company. Furthermore, the Registered User shall grant a non-exclusive license for use, duplication, distribution, creation of derivative works, indication and execution of the Posted Data posted or otherwise transmitted by the Registered User with the use of the Services, to other Registered Users.
  4. Registered Users shall agree not to exercise their moral rights of author against the Company or individuals to whom the rights are assigned or licensed by the Company.

Article 9 (Cancellation of Registration)

  1. The Company may delete the Posted Data, temporarily suspend the use of the Services by the relevant Registered User, cancel registration as a Registered User, or terminate the Service Agreement without giving prior communication or notice:
    • If the Registered User violates any provision of the Terms;
    • If it transpires that any Registered Item contains any false statement;
    • If the Registered User suspends payment or becomes insolvent, or a petition for commencement of bankruptcy, civil rehabilitation, corporate restructuring, special liquidation procedures, and any other procedure similar thereto, is filed against the Registered User;
    • If the Registered User has made no use of the Services for a period exceeding six (6) months;
    • If the Registered User has not responded to an inquiry or other communication of the Company demanding a response, for more than thirty (30) days;If the Registered User falls under any of the items in Paragraph 4 of Article 3;
    • If the Company considers the Registered User to be unsuitable as a user of the Services, for registration as a Registered User, or for continuance of the Service Agreement.
  2. Registered Users falling under any of the items listed in the preceding paragraph shall automatically forfeit the benefit of time in relation to all debts they owe to the Company, and shall immediately pay all such debts to the Company. 
  3. The Company shall assume no liability for damage caused to Registered Users due to action taken by the Company under this Article.

Article 10 (Withdrawal)

  1. Registered Users may withdraw from the Services and delete their registration as Registered Users by notifying the Company, through the procedures specified by the Company.
  2. If Registered Users have any debt owing to the Company at the time of withdrawal, they shall automatically forfeit the benefit of time in relation to all debts they owe to the Company, and shall immediately pay all such debts to the Company.
  3. Handling of user information after withdrawal shall be governed by the provisions of Article 14.

Article 11 (Modification and Termination of Contents of Services)

  1. The Company may modify all or part of the contents of the Services or terminate provision thereof on the basis of its own convenience. In the event of termination of provision of the Services, the Company shall notify Registered Users in advance.
  2. The Company shall assume no liability for damage caused to Registered Users due to action taken by the Company under this Article.

Article 12 (DENIAL OF WARRANTY AND DISCLAIMER)

  1. The Company does not warrant that the Services are suitable for Registered Users' specific purpose, or have expected functions, commercial value, correctness and usefulness, or that the use of the Services by Registered Users is compliant with laws and regulations applicable to the Registered Users or internal rules of industry associations, or that the Services will not result in any problem.
  2. The Company shall not be obliged to compensate for damage caused to Registered Users in connection with the Services, including interruption, suspension, termination, unavailability or modification of provision of the Services by the Company, deletion or loss of messages or information transmitted by Registered Users to the Services, cancellation of registration of Registered Users, and loss of registered data or failure/damage of equipment caused by the use of the Services (hereinafter referred to as "User Damage").
  3. The Company shall assume no responsibility for any transaction, communication or dispute between a Registered User and another Registered User or a third party, in connection with the Services or the Company Website.

Article 13 (Confidentiality)

Unless approved by the Company in writing in advance, Registered Users shall maintain confidentiality regarding non-public information disclosed by the Company in connection with the Services, requesting Registered Users to maintain confidentiality.

Article 14 (Handling of User Information)

  1. Handling of user information of Registered Users by the Company shall be governed by the provisions of the Personal Information Protection Policy and Web Privacy Policy of the Company as set forth on the Company Website, and Registered Users shall agree that the Company handles their user information in accordance with the Personal Information Protection Policy and Web Privacy Policy.
  2. The Company may, at its own discretion, use and publish information and data, etc. supplied by Registered Users as anonymous statistical information that does not reveal personal identity, and Registered Users shall raise no objection to such use and publication.

Article 15 (Modification of the Terms)

The Company may modify the Terms. In the event of any modification of the Terms, the Company shall notify Registered Users of the content of such modification. In cases where Registered Users use the Services after receiving said notification, or fail to take procedures for cancellation of their registration within a period specified by the Company, the Registered Users shall be deemed to have accepted the modification of the Terms.

Article 16 (Communication/Notice)

Any inquiry concerning the Services, other communication or notice by Registered Users to the Company, communication of modification of the Terms, and other communication or notice by the Company to Registered Users shall be made through procedures specified by the Company.

Article 17 (Assignment, etc. of Status under Service Agreement)

  1. Registered Users shall not assign, transfer or mortgage to any third party, or otherwise dispose of, their status under the Service Agreement or their rights or obligations under the Terms, without prior written consent of the Company.
  2. In cases where the Company assigns business relating to the Services to another company, the Company may assign its status under the Service Agreement, its rights and obligations under the Terms, Registered Items of Registered Users and other customer information to the assignee of the business in the process of the business assignment, and Registered Users shall be hereby deemed to agree to such assignment in advance. Normal assignment of business, corporate division, and any other cases where business is transferred shall be included in the assignment of business set forth in this Article.

Article 18 (Governing Law and Jurisdiction)

The Terms and the Service Agreement shall be governed by the laws of Japan. Even if any sale/purchase of goods occurs in connection with the Services, the parties shall agree to exclude application of the United Nations Convention on Contracts for the International Sale of Goods.

In any dispute arising from or connected with the Terms or the Service Agreement, the parties shall agree to submit to the exclusive jurisdiction of the Nagoya District Court in Japan in the first instance.
